Lerners has been involved in many of Canada's most significant cases dealing with corporate governance issues and shareholders' rights. We understand the complexities of disputes that can arise that are "internal" to corporations, including business corporations and charities.

Directors and officers of an incorporated company are subject to a broad range of common law, equitable and statutory duties which present possible sources of liability. In fact, while many of the duties of directors and officers are found in incorporating legislation, bylaws of the corporation, and shareholders agreements, directors and officers must remain mindful that they may have duties to shareholders, members, creditors and other stakeholders that may go beyond "black letter law".
